These terms apply when you use this website or engage AvenueX Ads for services. A signed proposal or agreement takes priority over these terms where they differ.

1. Services

We provide paid advertising management and related services, such as Google Ads and Meta Ads management, tracking setup, product feed management, creative production, landing page advice and reporting. The written proposal defines the exact scope.

2. No guaranteed results

Advertising results depend on many factors outside our control, including platform algorithms, auctions, competition, your product, pricing, stock and website. We do not guarantee any specific sales, leads, ROAS, ranking or cost.

3. Your responsibilities

• Give accurate information about your business, products, offers and claims.
• Make sure your products, website and offers are legal and meet Google and Meta advertising policies.
• Approve creatives and campaigns in a reasonable time.
• Keep your own billing details on the ad platforms up to date.

4. Ad spend and fees

You pay advertising platforms directly for media spend. Our management fees are separate and are listed in the proposal. Invoices are due within 7 days. We may pause work if an invoice is more than 15 days overdue.

5. Accounts and ownership

You own your ad accounts, data and pixels. Once you have paid the related invoices, you own the final creatives we make for you. We keep our general methods, templates and know-how.

6. Confidentiality

Each party keeps the other's non-public information confidential and uses it only for the engagement.

7. Term and termination

Engagements run month to month unless the proposal says otherwise. Either party can end the engagement with 30 days' written notice. See the refund and cancellation policy.

8. Platform decisions

Google and Meta may reject ads, restrict accounts or change their products at any time. We will help you respond, but we are not liable for platform decisions.

9. Limitation of liability

To the extent the law allows, our total liability for any claim is limited to the fees you paid us in the 3 months before the claim. We are not liable for indirect or consequential loss, such as lost profit.

10. Governing law

These terms are governed by the laws of India. Courts in Delhi have exclusive jurisdiction.
